This Agreement governs your access to and use of our websites, services, and applications. Please read it carefully before using the Site.

ACCESSING THIS SITE CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS AND YOUR INTENT TO BE LEGALLY BOUND BY THEM. IF YOU DO NOT AGREE, PLEASE DISCONTINUE USE OF THE SITE IMMEDIATELY.

This Terms of Use agreement (the “Agreement”) governs your access to and use of the websites, services, and applications (collectively, the “Site”) which are owned, operated, or provided by Ellan Law Corporation (“Ellan Law,” “we,” “us,” or “our”).

Modification to the Site and Agreement

We reserve the right, in our sole discretion, to modify, suspend, or discontinue any aspect of the Site—including content and features—at any time without notice.

Agreement Updates

We may revise this Agreement at any time by updating this posting. We may provide notice of material revisions via a general notice on the Site.

Acceptance

Your continued use of the Site after revisions are posted signifies your agreement to the updated terms. You should visit this page periodically to review the current Agreement.

No Lawyer-Client Relationship

Important

The materials on this Site are for informational purposes only and do not constitute legal advice.

No Relationship: Your use of the Site or communication with us via email/form does not create a lawyer-client, advisory, or fiduciary relationship.

Retainer Required: A lawyer-client relationship will only be established if we specifically agree, in writing, to act for you. Until then, do not provide us with any confidential information.

Payments and Billing

Terms

Payment terms are as set out on the Site or within your specific engagement letter. Unless stated otherwise, all payments are in Canadian dollars.

Refunds

Payments made through the Site are generally non-refundable unless otherwise required by the Law Society of Manitoba or specific written agreement.

Third-Party Processors

We may use third-party payment processors (e.g., Stripe, PayPal). Your use of these services is subject to their respective terms.

Chargebacks

You agree to indemnify Ellan Law Corporation against any chargeback costs or fees resulting from a payment dispute related to your use of the Site.

Ownership and Intellectual Property

Subject to third-party rights, all material on the Site—including text, images, logos, and code (the “Content”)—is protected by Canadian and international copyright laws.

Limited License

You are granted a personal, non-exclusive, revocable license to view and print single copies of the Content for personal, non-commercial use only.

Prohibitions

You may not modify, republish, or distribute the Content without our express written permission.

Prohibited Uses

You agree not to:

  • Use the Site to violate any local, provincial, or national laws (including CASL).
  • Impersonate any person or misrepresent your affiliation with Ellan Law.
  • Transmit viruses, worms, or any malicious computer code.
  • Conduct automated data collection (scraping/mining) without our prior written consent.

Confidentiality of Communications

We do not guarantee the confidentiality of any communications sent via email or the Site. Unsolicited information may not be treated as confidential and will not be protected by solicitor-client privilege. If you are not an existing client, your email is not privileged.

Disclaimer and Limitation of Liability

As-Is Basis

The Site is provided without warranties of any kind. Use of the Site is at your own risk.

No Liability for Reliance

Ellan Law Corporation and its partners shall not be liable for any damages arising from the misuse of information on this Site.

Release

You agree to release and hold harmless Ellan Law Corporation from any claims, demands, or expenses arising from your use of the Site.

Governing Law

This Agreement is governed by the laws of the Province of Manitoba and the laws of Canada applicable therein. You attorn to the exclusive jurisdiction of the courts of Manitoba (Winnipeg) for any dispute arising from this Agreement.

Termination

If you breach any provision of this Agreement, your permission to use the Site terminates automatically. We may, at our discretion, suspend or terminate your access to the Site at any time without notice or liability.
